Acceptance

These Terms of Service govern access to and use of the SynAgent website, applications, software, and related services provided by SynAgent LLC.

By registering for an account, accepting an applicable order, or using the services, you agree to these Terms to the extent permitted by applicable law.

If you use the services on behalf of an organization, you represent that you have authority to act for that organization. In these Terms, “Customer” or “you” means that organization (or you, if you use the services for your own business), and “SynAgent,” “we,” or “us” means SynAgent LLC. If a separate written agreement signed by SynAgent LLC conflicts with these Terms, the written agreement controls.

Services

SynAgent provides cloud-based artificial intelligence orchestration, workflow automation, business integrations, customer engagement, and related software tools.

Available functionality depends on the selected subscription plan, service configuration, and any additional written agreement. We may improve, modify, or discontinue features over time; we will not materially reduce the core functionality of a paid plan during a paid subscription period without notice.

Accounts

You must provide accurate account information and keep it up to date. You are responsible for protecting access credentials and for all activity under your account. Account administrators are responsible for granting, managing, and revoking access for authorized users. Notify us promptly if you suspect unauthorized access to your account.

Subscriptions, payments, and cancellations

Paid plans are offered as recurring subscriptions billed in advance for each billing cycle at the price shown when you subscribe. Some plans require a one-time implementation service, and optional add-ons may be purchased in addition to a plan. Payments are processed by our third-party payment processor, and you authorize recurring charges to your selected payment method until the subscription is cancelled.

Prices do not include taxes unless stated; you are responsible for applicable sales, use, value-added, and similar taxes. If a payment fails, we may retry the charge and may suspend paid features until the balance is paid.

Cancellation: [Pending verification: cancellation procedure]. Unless otherwise stated, cancellation takes effect at the end of the current billing cycle and you retain access until then.

Refunds: [Pending verification: refund terms].

We will give advance notice of price changes, which apply from your next billing cycle.

Customer data and ownership

Customers retain applicable ownership and other rights in information and materials they provide to SynAgent.

Customers grant SynAgent LLC the limited rights necessary to host, process, transmit, and otherwise use such information to provide the authorized services.

You are responsible for the accuracy and legality of customer data and for having the rights and consents needed to provide it to us. Our handling of personal information is described in our Privacy Policy.

Artificial intelligence services

  • Output limitations. AI-generated output may be inaccurate, incomplete, or unsuitable for your purpose, and similar requests may produce different results.
  • Human oversight. You are responsible for reviewing output and for maintaining appropriate human oversight before relying on it, publishing it, or using it in decisions that affect people.
  • Authorized automation. Agents act only within the permissions, integrations, and boundaries you configure. You are responsible for the actions you authorize agents to take.
  • Third-party models. Some features depend on third-party AI model providers, whose availability and behavior are outside our full control.
  • Restricted uses. You may not use the services for unlawful purposes or to make fully automated decisions with legal or similarly significant effects on individuals (such as decisions about credit, employment, housing, insurance, or health care) without the human review and safeguards required by law.

Communications and consent

Customers are responsible for obtaining and maintaining all legally required permissions for communications they initiate through the services.

The SynAgent platform must not be used to send unsolicited bulk messages, bypass recipient opt-outs, misrepresent sender identity, or conduct unauthorized marketing.

A subscriber’s consent to receive communications from SynAgent LLC does not constitute consent to receive messages from any tenant or independent customer.

The SynAgent SMS Updates program is governed by the SMS Program Terms & Conditions. Accepting these Terms does not enroll you in that program or give consent to receive marketing text messages. SMS marketing consent is given only by texting START to the program number and replying YES.

Acceptable use

You may not use the services to:

  • engage in fraud, deception, or impersonation;
  • send spam, abusive or harassing messages, or messages to recipients who have opted out;
  • distribute malware or interfere with the operation of the services or any network;
  • gain unauthorized access to accounts, systems, or data;
  • collect or process personal information unlawfully;
  • infringe or violate intellectual property, privacy, or other rights;
  • circumvent security controls, usage limits, or messaging-provider and carrier rules; or
  • violate any applicable law or regulation.

Third-party services

The services interoperate with third-party products, including integrations you connect, external software, communication carriers and messaging providers, payment processors, and AI model providers. Those services are provided by third parties under their own terms and privacy policies. We are not responsible for third-party services, and their availability may change.

Intellectual property

SynAgent LLC and its licensors retain their applicable rights in the platform software, documentation, technology, trademarks, and proprietary materials.

These Terms do not transfer ownership of SynAgent technology to customers, or customer-owned materials to SynAgent, except for the limited rights expressly granted. If you send us feedback, we may use it without obligation to you.

Confidentiality

“Confidential Information” means non-public information disclosed by one party to the other that is marked confidential or that a reasonable person would understand to be confidential, including customer data and non-public product information. The receiving party will use Confidential Information only to perform under these Terms, will protect it with at least reasonable care, and will disclose it only to personnel and service providers who need it and are bound by similar obligations. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is rightfully received from a third party. A party may disclose Confidential Information when required by law, after giving reasonable notice where legally permitted.

Security and availability

We maintain reasonable administrative, technical, and organizational safeguards for the services. The services may be unavailable from time to time for maintenance, updates, or reasons beyond our reasonable control, including outages of hosting, carrier, payment, or AI providers. Unless a separate written agreement states a service level commitment, we do not guarantee any particular uptime.

Suspension and termination

We may suspend access, in whole or in part, if reasonably necessary to address a security incident, to prevent unlawful activity or abusive messaging, because of a material breach of these Terms, or for non-payment. Where practical, we will notify you and limit the suspension to what is necessary.

Either party may terminate for the other party’s material breach that is not cured within a reasonable period after notice. You may stop using the services and cancel your subscription as described above. Following termination, we will handle customer data as described in our Privacy Policy and any applicable agreement, including deleting it after a reasonable period except where retention is legally required.

Disclaimers

Except as expressly stated in these Terms or a written agreement, and to the extent permitted by law, the services are provided “as is” and “as available,” and SynAgent LLC disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services or AI-generated output will be error-free, uninterrupted, or suitable for any particular purpose.

Limitation of liability

To the extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of these Terms or the services, even if advised of the possibility of such damages.

To the extent permitted by law, each party’s total liability arising out of these Terms is limited to: [Pending verification: liability cap (counsel approval)].

These limitations do not apply to liability that cannot be limited under applicable law.

Indemnification

You will defend and indemnify SynAgent LLC against third-party claims arising from customer data you provide or from communications you send through the services in violation of law or these Terms. SynAgent LLC will defend and indemnify you against third-party claims alleging that the SynAgent platform, as provided by us, infringes that third party’s intellectual property rights. The indemnified party must give prompt notice of the claim, reasonable cooperation, and control of the defense to the indemnifying party.

Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other party. Disputes that are not resolved informally will be resolved in the state and federal courts located in Miami-Dade County, Florida.

Changes to these Terms

We may update these Terms. We will post the updated Terms on this page with a new effective date and, for material changes, provide reasonable advance notice by email or in the application. Continued use of the services after the effective date means you accept the updated Terms. If you do not agree, you may cancel before the changes take effect.
